1. Acceptance of Terms

Welcome to SugarMommyPhilippines ("we," "our," "us" or the "Platform"). By accessing, registering for, or using our Platform and services, you ("you" or "User") acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"), as well as our Privacy Policy and any additional guidelines or rules that may be posted on the Platform from time to time.

These Terms constitute a legally binding agreement between you and SugarMommyPhilippines. If you do not agree to these Terms, you must immediately cease accessing or using the Platform.

You must be at least 18 years of age to use our Platform. By using our services, you represent and warrant that you are 18 years of age or older.

2. Description of Service

SugarMommyPhilippines provides an online dating platform specifically designed to connect mature women ("Sugar Mommies") with younger men ("Sugar Babies") in the Philippines. Our services include:

  • Account creation and profile management
  • Advanced matching algorithms based on user preferences
  • Secure messaging and communication tools
  • Profile browsing and search functionality
  • Premium features for subscribed users
  • Safety and security guidelines and tools

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We may also impose limits on certain features or restrict your access to parts or all of the Platform without notice or liability.

Our services are intended for personal, non-commercial use only. You agree not to use our services for any commercial purpose without our prior written consent.

3. User Accounts

To access certain features of the Platform, you must create a user account. When creating an account, you agree to:

  • Provide accurate, current, and complete information about yourself during registration
  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Choose a strong password and keep it confidential
  • Not share your account credentials with any third party
  • Notify us immediately if you become aware of any unauthorized use of your account
  • Accept full responsibility for all activities that occur under your account
  • Not create more than one account per person
  • Not create an account on behalf of someone else without their explicit permission

We reserve the right to disable any account name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

4. User Conduct

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms and any applicable laws or regulations. You are solely responsible for your conduct on the Platform and the content you post or share. You specifically agree not to:

  • Harassment and Abuse: Harass, threaten, intimidate, bully, or otherwise harm any other user or individual, whether through direct messages, profile comments, or any other form of communication on the Platform
  • Impersonation: Impersonate any person, entity, or official, or falsely state or otherwise misrepresent your identity, age, location, or affiliation with a person or entity
  • Objectionable Content: Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, invasive of another's privacy, hateful, or racially, ethnically, religiously, or otherwise discriminatory
  • Spam and Solicitation: Upload, post, or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation, including but not limited to soliciting money, goods, or services from other users
  • Malicious Content: Upload, post, or transmit any material that contains viruses, Trojan horses, worms, time bombs, cancelbots, malware, ransomware, or any other harmful programs or code that could damage, disable, or impair the Platform or any user's device
  • Underage Interaction: Solicit personal information from anyone under 18 years of age or misrepresent your age to appear younger than 18
  • Platform Disruption: Engage in any activity that interferes with or disrupts the Platform or the servers and networks connected to the Platform, including but not limited to overloading, flooding, or crashing the Platform
  • Unauthorized Access: Attempt to gain unauthorized access to the Platform, other user accounts, or any other systems or networks connected to the Platform, including through hacking, password mining, or any other means
  • Stalking: Use the Platform to stalk, follow, or otherwise monitor another user's activities without their consent
  • Intellectual Property Infringement: Post or share content that infringes on any intellectual property rights of others, including copyrights, trademarks, patents, trade secrets, or other proprietary rights
  • Commercial Use: Use the Platform for any commercial purpose without our prior written consent, including but not limited to selling products or services, conducting market research, or promoting a business
  • Data Harvesting: Scrape, crawl, or otherwise harvest data from the Platform without our prior written consent, including but not limited to user profiles, photos, or communications
  • Fraudulent Activity: Engage in any fraudulent or deceptive practices, such as creating fake profiles, misrepresenting your intentions, or using the Platform for financial scams
  • Drug-Related Activity: Promote, advertise, or facilitate the sale, use, or distribution of illegal drugs or controlled substances
  • Prostitution or Escort Services: Offer, solicit, or engage in prostitution, escort services, or any other form of sexual services in exchange for money or goods

We reserve the right, but not the obligation, to monitor and remove any content that we, in our sole discretion, believe violates these Terms or is otherwise objectionable. We may also terminate or suspend your account if you violate these Terms.

5. Content Rights

Your Content: You retain all ownership rights to the content you post or upload to the Platform, including photos, videos, messages, profile information, comments, and any other materials (collectively, "Your Content"). By posting or uploading Your Content to the Platform, you represent and warrant that:

  • You have all necessary rights, licenses, and permissions to post or upload Your Content
  • Your Content does not violate any laws, regulations, or third-party rights
  • You have obtained all necessary consents from individuals appearing in Your Content

However, by posting or uploading Your Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

  • Use, reproduce, distribute, modify, adapt, publicly display, and publicly perform Your Content in connection with the operation, maintenance, promotion, and improvement of the Platform and our services
  • Translate, create derivative works from, and distribute Your Content to other users of the Platform as part of our services
  • Use Your Content for research, analytics, and quality improvement purposes, provided that such use is anonymized and does not identify you personally
  • Display Your Content in search results on our Platform and other platforms
  • Include Your Content in marketing or promotional materials, with your explicit consent

Our Content: The Platform and its original content (excluding your content), features, and functionality are owned by SugarMommyPhilippines and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Third-Party Content: The Platform may contain content from third parties. We do not endorse or assume any responsibility for such third-party content.

6. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and safeguard your personal information when you use our Platform. By using our services, you consent to our collection and use of your information as described in the Privacy Policy.

We encourage you to review the Privacy Policy carefully to understand our data practices.

7. Termination

By You: You may terminate your account at any time by following the instructions on the Platform or by contacting us at support@sugarmommyphilippines.com.

By Us: We may terminate or suspend your account and access to the Platform at our sole discretion, with or without notice, for any reason, including if:

  • You violate any provision of these Terms
  • We believe your conduct is harmful to other users, us, or third parties
  • We are required to do so by law
  • The provision of services to you is no longer commercially viable
  • You engage in fraudulent or illegal activities
  • You fail to respond to requests for verification of your identity

Effects of Termination: Upon termination of your account:

  • Your access to the Platform will be immediately revoked
  • You will no longer be able to access your account or any content associated with it
  • We may retain your account information and content for a reasonable period of time for legal, regulatory, or business purposes
  • Any outstanding obligations you have to us will remain due and payable

Termination of your account will not affect any rights or obligations that arose prior to termination.

8. Limitation of Liability

Disclaimer of Warranties: THE PLATFORM AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUGARMOMMYPHILIPPINES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, completeness, or reliability of any content on the Platform
  • Warranties that the Platform will be uninterrupted, error-free, or secure
  • Warranties that any defects or errors in the Platform will be corrected
  • Warranties regarding the conduct or content of other users on the Platform

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUGARMOMMYPHILIPPINES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Damages for loss of profits, revenue, savings, data, or other intangible losses
  • Damages for personal injury or emotional distress
  • Damages arising from the conduct of other users, including but not limited to harassment, fraud, or misrepresentation
  • Damages arising from unauthorized access to or use of your account or personal information
  • Damages arising from the failure or delay in performance of the Platform
  • Damages arising from any malfunction, virus, or other harmful component of the Platform

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY REGARDLESS OF THE LEGAL THEORY UNDER WHICH THE CLAIM IS BROUGHT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE PLATFORM EXCEED THE GREATER OF:

  • THE AMOUNT YOU HAVE ACTUALLY PAID TO US IN THE 12 MONTHS PRIOR TO THE DATE THE CLAIM AROSE, OR
  • PHP 1,000.00

THIS LIMITATION OF LIABILITY APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREIN.

Indemnification: You agree to indemnify, defend, and hold harmless SugarMommyPhilippines and its officers, directors, employees, affiliates, agents, contractors, licensors, suppliers, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees, court costs, and investigation expenses) arising from or related to:

  • Your access to or use of the Platform
  • Your violation of any provision of these Terms or our Privacy Policy
  • Your violation of any applicable law, regulation, or government order
  • Your violation of any third-party right, including but not limited to any copyright, trademark, patent, trade secret, privacy right, or publicity right
  • Any claim that Your Content caused damage to a third party or infringes upon any third-party rights
  • Your conduct towards other users or third parties, including but not limited to harassment, defamation, or fraud
  • Your breach of any representations or warranties made under these Terms

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You may not settle any such claim or matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

9. Changes to Terms

We reserve the right to modify or update these Terms at any time. When we make material changes to these Terms, we will:

  • Post the updated Terms on this page with a new "Last updated" date
  • Send an email notification to users who have provided an email address
  • Display a prominent notice on the Platform

Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform immediately.

We encourage you to review these Terms periodically for any changes.

10. General Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms and the remaining provisions shall remain in full force and effect.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

Dispute Resolution: Any dispute arising out of or relating to these Terms or the use of the Platform shall first be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation in Metro Manila, Philippines. If mediation is unsuccessful, the dispute shall be resolved by arbitration in Metro Manila, Philippines, in accordance with the rules of the Philippine Dispute Resolution Center, Inc.

Entire Agreement: These Terms constitute the entire agreement between you and SugarMommyPhilippines regarding your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.

Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
